Edith Hlawati and Robert Stajic have been appointed as two new members of the VERBUND Supervisory Board; Barbara Praetorius was reappointed. The proportion of women on the VERBUND Supervisory Board is 40% amongst the shareholder representatives and 46% amongst the 15-member Supervisory Board as a whole.

The 75th ordinary general meeting of VERBUND was held on 25 April 2022 in accordance with the statutory COVID-19 regulations, again as a virtual general meeting, in the physical presence of the Supervisory Board’s chairperson, the Executive Board’s chairperson and other members of the Executive Board, the certifying notary and the five special proxies appointed by the company. Further shareholders took part digitally in the general meeting, which was broadcast as a livestream on the VERBUND website. 
 
Dividend 2021
The general meeting of 25 April 2022 proposed and accepted a dividend of €1.05 per share for financial year 2021, 40% higher than in the previous year. The dividend yield for 2021 is 41.8% based on the reported group result and 45.7% based on the group result adjusted for non-recurring effects.
 
New Supervisory Board members appointed
The mandates of two elected Supervisory Board members – Susan Hennersdorf and Barbara Praetorius – expired with this year’s ordinary general meeting. Thomas Schmid had already given up his mandate as chairman and Supervisory Board member in June 2021.
 
The following were appointed or re-appointed at the regular election of the Supervisory Board:

Appointed until the end of the General Meeting that votes on the discharge for financial year 2024.

New/re-appointments are undertaken with different terms for reasons of shareholder friendliness, as it gives them the possibility to make changes to the composition of the Supervisory Board every year. With these appointments, four women sit on the Supervisory Board for the capital representatives, and the proportion of women on the VERBUND Supervisory Board is 40% amongst the shareholder representatives and 46% amongst the 15-member Supervisory Board as a whole. 

The former chairperson Martin Ohneberg was confirmed in his position at the subsequently convened meeting of the Supervisory Board. Edith Hlawati was elected as first deputy chairperson and Christine Catasta as second deputy chairperson.
