Corporate governance is the generic term for the entire management and controlling system of a company. Corporate Governance is of immense importance for us. The Managing Board and the Supervisory Board at VERBUND cooperate closely in the interest of the company so as to guarantee responsible and value-oriented corporate management and controlling.

Corporate governance is a generic term for the entire system of management and control of a company. The system of good corporate governance is of central importance to VERBUND. VERBUND's Executive Board and Supervisory Board work closely together in the interests of the Company. This ensures responsible and value-orientated corporate governance and control.

Corporate Governance Report

VERBUND's Corporate Governance Report, which must be prepared annually in accordance with Section 243b of the Austrian Commercial Code (UGB), is published together with the respective annual report. It contains all of the information required by law and the Austrian Code of Corporate Governance (ÖCGK) and is regularly audited by an independent auditor.

Corporate Governance Code

The Austrian Code of Corporate Governance has been in force for more than twenty years. This Code provides a framework for the management and supervision of listed companies. From the outset, VERBUND has been clearly and unequivocally committed to compliance with the Code by way of self-declaration. The current version of the Code can be found on the website of the Austrian Working Group for Corporate Governance (www.corporate-governance.at).

For VERBUND, compliance with the rules of the Code is an essential part of corporate governance. For this reason, we not only feel bound by the L rules (Legal Requirement) and C rules (Comply or Explain) of the Code, but also strive to comply with the R rules (Recommendation) contained in the Code, above and beyond the mandatory requirements.

The Code requires an external evaluation of compliance with the C and R rules of the Code within the company at least every three years. VERBUND therefore regularly commissions a renowned external auditing firm to evaluate compliance with and implementation of the Code within the company. This was last the case for the 2024 financial year. It was also confirmed that VERBUND's consolidated corporate governance report complies with the statutory requirements and provisions of the ÖCGK.

Electronic whistleblower platform

VERBUND's compliance management system - based on the EU Whistleblowing Directive - also includes the receipt and processing of incoming reports and information on legal violations.

Director's dealings and remuneration report

In accordance with the statutory requirements, we are obliged to prepare a remuneration report that discloses the remuneration of senior executives. In addition, you can find out everything about transactions involving VERBUND financial instruments for one's own account in order to ensure maximum transparency.
